New requirements for employee stock ownership plans in Azerbaijan

New requirements for employee stock ownership plan agreements have been established in Azerbaijan.

According to the Operative Information Center-OMM, these regulations are reflected in the amendments to the Labor Code approved by President Ilham Aliyev.

Under the updated Code, an employee stock ownership plan agreement is defined as a contract initiated by a commercial entity's founder or employer. It regulates the granting of company shares to employees on preferential or free-of-charge terms, or the recognition of the right to acquire them in the future. The agreement may stipulate specific conditions for the full transfer of ownership:

  • Time-based condition: The right to shares vests partially or fully after a specified period of employment.
  • Performance-based condition: The right to shares vests upon the achievement of specific targets by the employee or the commercial entity.

The legislation also allows parties to determine the consequences of employment termination regarding share acquisition rights. Shares acquired under these plans are not classified as salary and are not considered salary substitutes.

Additionally, amendments to the Civil Code enable companies to establish internal registries for these plans and create authorized (but unissued) stock funds. Tax Code amendments further clarify that options granted to employees, as well as the benefits derived from their execution, are exempt from being classified as employment income, provided the parties are not considered related persons.
